ORDER, OPINION , ETC., IN REGARD TO ALLEGED VIOLATION OF THE FEDERAL TRADE COMMISSION ACT AND SEC. 7 OF THE CLAYTON ACT Docket 89.S5. Complaint, Feb. 1974-Final Order, Dec. , 1975 Order requiring a London, Jo:ngland, manufacturer of industrial gases, among other things to divest ilself ofal! the stocks and assets of Aireo, Inc., a Montvale, N.J. producer of industrial gases and medical products, within one (1) year of the issuance of the order. Respondent is further prohibited from acquiring any corporate stocks or assets in any field related to production of industrial gases or medical products for a period of 10 years without prior F. C. approval. British Oxygen and Airco, Inc. must also cease any representation on each other s respective boards of directors.

COMPLAINT The ederal Trade Commission, having reason to believe that British Oxygen Company Ltd. (hereinafter "HOC"), HOC Financial Corporation (hereinafter "HOC Financial"), HOC Holdings Ltd. (hereinafter BOC Holdings ), and British Oxygen InvestmelIts Ltd. (hereinafter EO Investments ), respondents herein, have violated the provisions of Section 7 of the Clayton Act, as amended (15 U . C. 918), and that the above named respondents and Aireo, Inc. (hereinafter "Aireo respondent herein, have further violated the provisions of Section 5 of the Federal Trade Commission Act (15 U. 945), through the tH'\ll;cn VA I. Vl. ,-"v. U.L ..... 1241 Complaint least thirty (30) days prior to any proposed change in the corporate respondent such as dissolution, assignment or sale, resulting in the emergence of a successor corporation, the creation or dissolution of subsidiaries or any other changes in the corporation which may affect compliance obligations arising out of this order. It is further qrdered That the compliance report heretofore filed by respondent shah be considered by the Commission as if it had been filed under this order.

It is further ordered That this order shah become effective upon service.
